1. SERVICE PROVIDER INFORMATION
This Service is owned and operated by Roshcomm Co WLL, a company organized and existing under the laws of Bahrain, with Company Registration Number 71118-1 (hereinafter referred to as "Provider", "we", "us", or "our").
2. AGREEMENT TO TERMS
By accessing or using GDPR Compliance Hub, you ("Customer", "you", or "your") agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the Service.
8. LIMITATION OF LIABILITY
8.1 Acknowledgement of Responsibility
Customer acknowledges and agrees that Customer is the "data controller" (as defined under applicable data protection laws) for all personal data collected through Customer's website. Provider acts solely as a "data processor" or "service provider" providing technical tools for consent management.
8.2 No Guarantee of Compliance
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." PROVIDER DOES NOT WARRANT THAT:
- The Service will meet Customer's legal compliance requirements under GDPR, CCPA, LGPD, or any other applicable law;
- The Service will block all third-party cookies, trackers, or scripts;
- Customer's website will be fully compliant with any data protection law solely by using the Service.
8.3 Customer Sole Responsibility for Implementation
Customer bears sole responsibility for:
- Proper installation of all Service scripts, including but not limited to loader.js, banner.js, and any proxy configurations;
- Correct categorization of all trackers, cookies, and scripts operating on Customer's website;
- Configuring the Service to block or allow specific scripts based on user consent;
- Ensuring that no non-essential cookies or trackers load before the Service has obtained user consent;
- Regularly reviewing and updating tracker categorizations as Customer's website evolves.
8.4 Provider Verification Tools
Provider may offer verification tools (including but not limited to dashboard status indicators, automated crawlers, and setup checkers) to assist Customer in confirming proper implementation. These tools are provided for convenience only and do not constitute a guarantee of compliance or proper configuration. Customer remains responsible for verifying their own implementation.
8.5 Disclaimer of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
- Fines, penalties, or sanctions imposed by any regulatory authority (including but not limited to GDPR fines under Article 83);
- Legal fees, settlement costs, or judgment amounts arising from any lawsuit, complaint, or regulatory action;
- Loss of revenue, customers, data, or business reputation;
- Damages arising from Customer's failure to properly implement or configure the Service.
8.6 Cap on Liability
IN ANY EVENT, PROVIDER'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO PROVIDER DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9. CUSTOMER REPRESENTATIONS AND WARRANTIES
Customer represents and warrants that:
- Customer will implement the Service according to Provider's then-current setup documentation, including placing loader.js as the first script in the head, configuring CSP where applicable, and categorizing all third-party scripts.
- Customer has conducted its own legal review and determined that use of the Service, as implemented by Customer, satisfies Customer's obligations under applicable data protection laws.
- Customer will not represent to any third party that Provider guarantees compliance with any law.
- Customer will immediately correct any identified misconfiguration upon notice from Provider.
- Customer will maintain records of implementation, configuration changes, and compliance audits.
10. INDEMNIFICATION
Customer agrees to defend, indemnify, and hold harmless Provider, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Customer's breach of any representation, warranty, or obligation under this Agreement;
- Customer's improper installation, configuration, or use of the Service;
- Customer's failure to obtain legally valid consent from end users;
- Any third-party claim, regulatory action, or lawsuit alleging that Customer's website violates applicable data protection laws;
- Customer's categorization of any tracker, script, or cookie as "essential" or "functional" when such categorization is disputed by any end user or regulator;
- Any cookies, trackers, or scripts that load on Customer's website before the Service has obtained user consent, regardless of cause.
This indemnification obligation survives termination of this Agreement.
11. SERVICE SUSPENSION
Provider may suspend or terminate Customer's access to the Service, without liability, upon the occurrence of any of the following:
- Provider's automated verification tools detect that loader.js is not properly installed for more than seventy-two (72) consecutive hours;
- Provider determines, in its reasonable discretion, that Customer's implementation is likely to result in legal liability for Provider or Customer;
- Customer fails to respond to three (3) or more setup verification warnings sent to Customer's registered email address;
- Provider receives notice from any regulatory authority regarding Customer's website.
Upon suspension, Provider will notify Customer via email. Service may be restored upon Customer's confirmation of proper implementation.
12. AUTOMATED FEATURES DISCLAIMER
12.1 Crawler/Auto-Detection
Provider's automated crawler, script detection, and categorization features are provided as productivity tools only. Customer acknowledges that automated detection may miss trackers, may incorrectly categorize trackers, and does not guarantee full detection.
12.2 Proxy Blocking
The proxy-based blocking feature, if enabled, blocks requests based on Customer categorization. Provider does not warrant complete routing through proxy, perfect bypass prevention, or 100% blocking accuracy. Some trackers may load before proxy initialization or bypass interception techniques.
